By accessing and/or reselling any of our products you acknowledge that you have read, understand and agree to be bound by the following terms conditions, liability disclaimer, reseller responsibilities, license and distributions rights. If you do not agree with any of the following terms please do not purchase, access, use or redistribute our products.

We also never guarantee any specific results within any timeframe… any claims that we do make of results or the results of our clients are for demonstration purposes only. You and only you are responsible for the amount of money you earn by implementing what you learn by purchasing and/or reselling any of our products. Definitions:

Entrepreneur Hub, Inc. and Licensor refers to our company, the creator and provider of Launch Hub AI and the AIVA Reseller Systems and associated products.

Launch Hub AI and the AIVA Reseller Systems Refers to products that are created and sold by us and our resellers for others to use and resell for a profit as well.

You or Licensee refers to all individuals or business entities that purchase (from us or another reseller) any of our Launch Hub AI and the AIVA Reseller Systems Products

Product License Rights:

By purchasing Launch Hub AI and the AIVA Reseller Systems, created and distributed by Entrepreneur Hub, Inc. you are granted rights to resell certain products and retain a percentage of profits (up to 100%) as outlined on our sales pages.

Branding and Modification Limitations:

You agree and fully acknowledge that you may NOT alter the product in any way shape or form. You will be provided access to all digital assets, designs, logos, promotional material and even pre-built funnels and sales systems, to be able to resell this product as fast as possible and without ever having to redesign or recreate any of the systems or content yourself. You agree not to combine our branding with your own branding, modify, rebrand or sell the products outside of the terms of this agreement.

Responsibility of Earnings:

Entrepreneur Hub, Inc. is not responsible for any future earnings, profits or losses associated with the use or sale of Launch Hub AI and the AIVA Reseller Systems Products.

Warranties:

All products are sold “as is” without warranty or guarantee. The original creator and all resellers make no warranties, either express or implied, with respect to any AIVA Reseller Products. This includes but is not limited to, implied warranties of merchantability, fitness for a unique or particular purpose, non-infringement or third-party rights.

Content and Quality:

While Entrepreneur Hub, Inc. continues to strive to provide the highest quality products, we do not guarantee the accuracy, completeness, or suitability of the content for your particular market. It is your responsibility to review, and ensure the accuracy and quality of the products for your customers before reselling them.

Intellectual Property:

All intellectual property rights for our products, including but not limited to trademarks, trade secrets, copyright etc. are the sole property of the original creator. You may not under any circumstances infringe upon these rights by copying or recreating our intellectual property.

Termination:

Once purchased, the reseller receives rights to resell these digital products and will retain access while in good standing with our company (good standing: having not broken any terms of this agreement). Entrepreneur Hub, Inc. reserves the right to terminate your license to resell our Products if we believe you are not complying with these Terms and Conditions. Upon termination, you must immediately cease all distribution of our products.

REFUNDS:

All product sales are digital and proprietary in nature and can be easily downloaded and or copied for those reasons all sales are final and refunds will not be granted for any reason.

CANCELLATIONS:

All monthly products unless specifically stated on the sales page are month to month services and can be canceled at any time with a written request sent to [email protected] from the account holder's email with the subject line "Cancel" and a reference to the name of the account holder and requested cancellation date. Any request for cancellation is processed manually and should allow 24 hours prior to your billing date to allow time for processing.

PAYMENTS:

By purchasing any of our products you are giving the creator or reseller of that product or products the right to charge your card for that purchase. While most of our products are one time payment with resell rights products, some of our products are monthly recurring. This will be clear to you as the purchaser upon checkout. By purchasing any of our monthly recurring products, you are authorizing the creator or the reseller you are purchasing from, the permission to charge your card on file for the product you purchased, on a monthly recurring basis.

Terms of Sale (a) You hereby agree that all sales are final, non-refundable, and non-transferrable (b) You agree to make all payments on time and in full when applicable (c) You agree that all payments must be made on time as outlined on the checkout page and that Entrepreneur Hub, Inc. reserves the right to remove you from the program (d) You agree to waive any/all rights to charge-back, dispute, or make claims (“disputes”) against any payment made to Entrepreneur Hub, Inc. and/or any of its resellers or associates as being fraudulent, purchased in error, services not delivered to you, product not received, or any other dispute which claims that any payment is unlawful (e) You agree to not initiate any disputes or claims through your credit card company, bank, lending institution, or any other payment provider since you have fully consented to all charges outlined in Section 1 and thus you agree that you may not dispute any payments made

CONFIDENTIAL INFORMATION:

We respect your privacy and must insist that you respect the privacy of fellow participants. We respect your confidential and proprietary information, ideas, plans and trade secrets (collectively, "Confidential Information") and must insist that you respect the same rights of fellow participants. Thus, you agree: (a) Not to infringe upon the creator or resellers intellectual property or confidentiality rights in any way(b) That any Confidential Information shared by resellers or any representative of Entrepreneur Hub, Inc. is confidential and proprietary, and any such Confidential Information belongs solely and exclusively to the party who discloses such information (c) That all materials and information provided to you by the creator or reseller are confidential and proprietary intellectual property which belongs solely and exclusively to Entrepreneur Hub, Inc., and may only be used by anyone who has not invested in reseller rights to use and distribute it as well(e) Reproduction, distribution, or sale of these materials by anyone who has not purchased them is strictly prohibited and anyone associated with using them in an unlawful manner will result in immediate removal from the program(f) That if you violate, or display any likelihood of violating, any of the sections contained in this paragraph or referenced in this Agreement, Entrepreneur Hub, Inc. will be entitled to injunctive relief against you for any such violations Participation Terms: We are 100% committed to providing all participants with a positive experience. Thus, we reserve the right to immediately suspend or terminate (without notice) any of our resellers from the program should they break the terms in this agreement, fail to follow guidelines, become disruptive, defame or threaten to defame our character or the character of our resellers and associates, impair the participation of other participants or resellers or become a threat to our company or associates in any way.Privacy Policy Terms of Service: You agree to adhere to all terms as outlined on this document and while we do not anticipate making frequent edits, Entrepreneur Hub, Inc. reserves the right to make modifications to any of our policies at its sole discretion and without notifying program participants.  

NON-SOLICITATION: 

You agree not to solicit our clients to purchase your products that are similar in nature or scope of use.

Right to Use Name & Likeness: 

(a) You hereby consent to the use of your name, photograph, likeness, voice, testimonial and biographical material, in whole or in part, for publication or reproduction in any medium, including but not limited to television, radio, print media and the internet, among others, for any purpose, including but not limited to public relations, education, advertising, marketing, training and research (b) Your consent is granted to QS and extends to such use without restriction or limitation as to time or geographic boundary (c) You hereby waive all rights you may have to any claims or demands for payment or royalties in connection with the use of any of such materials, regardless of the purpose of such use or publication, and regardless of whether a fee is charged or collected by QS for any product and/or service in connection with such use and publication (d) You also waive any right to inspect, review or approve any photograph, recording, or other written material at any time, and waive the right to approve the use and medium of publication determined by QS (e) You understand that QS owns all rights in and to any such photograph, recording or testimonial, including any copyright and/or trademark relating to such use.

LICENSING AGREEMENT

This Licensing Agreement ("Agreement") is entered into as of the date of purchase, by and between Entrepreneur Hub, Inc. ("Licensor"), and the buyer of the MRR Systems Products ("Licensee" or “User” or “Reseller”).WHEREAS, Licensor is the sole and exclusive owner of Launch Hub AI and the AIVA Reseller Systems Products.WHEREAS, Licensee desires to obtain the right to resell Launch Hub AI and the AIVA Reseller Systems Products, and Licensor is willing to grant such rights to Licensee, on the terms set forth herein.

Terms of License: 

By entering into this agreement, the Licensee agrees to the following terms concerning the use, resale, and distribution of our products and systems.

Scope of License Agreement:

This License agreement encompasses all Launch Hub AI and the AIVA Reseller Systems Products and the licensee agrees to be bound by provisions for all products provided. Any breach of the terms related to one product will be considered a breach of the entire agreement.

Prohibition of Income Claim Content and License Revocation:

All users and Resellers of Launch Hub AI and the AIVA Reseller Systems Products agree not to make, endorse or disseminate, any claims, statements, advertisements, or representations, directly or indirectly, which make income expectations, projections, promises, or guarantees concerning potential income or earnings that may be derived from the use of any Launch Hub AI and the AIVA Reseller Systems Products.

The use of false or misleading income claims containing content in association with Launch Hub AI and the AIVA Reseller Systems Products is strictly prohibited under this license agreement. Users acknowledge that any false, misleading, or deceptive claims regarding potential income can result in significant legal and financial consequences, including potential actions by the Federal Trade Commission (FTC) for deceptive advertising and marketing practices. Violation of this provision will result in the immediate revocation of the license to use and resell any Launch Hub AI and the AIVA Reseller Systems Products and may also lead to further legal action. By purchasing or reselling any Launch Hub AI and the AIVA Reseller Systems Products you agree to be bound by these terms. Marketing and Promotion:Licensee agrees to use ethical marketing materials for the promotion of the Product.False or Misleading Income claims for marketing purposes are strictly prohibited. Licensee agrees to indemnify Entrepreneur Hub, Inc. from any damages resulting from advertising income claims.

Product Integrity and Distribution Limitations:

Licensee shall not modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise tamper with any Launch Hub AI and the AIVA Reseller Systems Products.

This includes, but is not limited to, selling portions of the product, renaming the product, changing material within the product, or altering the creator of the product. This also includes giving away parts of the products or changing the pricing in any way whatsoever. Licensee is prohibited from giving away the Product for free or as part of a free bundle.

Giving away or modifying prices will result in immediate revocation of the license to use and resell all Launch Hub AI and the AIVA Reseller Systems Products without refund.

Licensee may include additional content or opportunities with the Product, provided they do not conflict with the original reseller agreement.

Misrepresentation:

Adding content that falsely represents or misinterprets the intentions, goals, or values of AIVA Reseller Systems products or Entrepreneur Hub, Inc..

Infringement:

Incorporating content that infringes on the intellectual property rights, trademarks, or copyrights of Entrepreneur Hub, Inc. or any third party.

Unapproved Modifications:

Making significant alterations or modifications to the original content of AIVA Systems without the explicit consent of Entrepreneur Hub, Inc.

Unethical Practices:

Introducing opportunities or content that involve unethical, illegal, or immoral practices, such as scams, misinformation, or deceptive marketing tactics.

Data Privacy Concerns: Introducing features or content that compromise the data privacy and security of users of AIVA Systems and it's Products. 

Resale Rights:

Licensee may resell the Launch Hub AI and the AIVA Reseller Systems Products to end users without transferring Resell Rights. Reselling to other resellers is also permitted.

If reselling the Resell Rights, Licensee agrees to include these terms and conditions with the product and ensure all customers adhere to this Agreement.

Failure to adhere to these terms will result in the revocation of the Licensee's resell rights, and Entrepreneur Hub, Inc. may pursue legal action for damages caused by misuse.

Payment Platforms:

Licensee takes full responsibility for payment collection and agrees to adhere to all terms and conditions of any payment platforms used to sell Launch Hub AI and the AIVA Reseller Systems Products.

Entrepreneur Hub, Inc. is not responsible for any aspect of these platforms.

Pricing:

The minimum sale price for resellable Launch Hub AI and the AIVA Reseller Systems Products will be clearly stated on all sales pages. Licensee must ensure that they never sell any Launch Hub AI and the AIVA Reseller Systems Products below the set resell amount.

Promotional Offers:

Licensee can offer gifts or bonuses with Launch Hub AI and the AIVA Reseller Systems Products, provided these do not effectively reduce the Product's sale price.

Community Guidelines:

Licensee agrees to abide by all community guidelines established by Entrepreneur Hub, Inc..

Agreement Amendments:

This Agreement represents the full understanding between Licensee and Entrepreneur Hub, Inc.. Licensees/Resellers may not modify this Agreement in any way.

Return Policy:

All sales of the Product are final and non-refundable. Licensees must communicate this policy clearly to customers and are fully responsible for handling any customer disputes, chargebacks or refund requests privately.

Non-Disparagement:

Licensee agrees not to make or encourage defamatory or disparaging statements about Launch Hub AI and the AIVA Reseller Systems Products or Entrepreneur Hub, Inc., including any and all associates, other users, licensees, resellers or anyone else in association, either directly or implied, with Launch Hub AI and the AIVA Reseller Systems Products or Entrepreneur Hub, Inc..

Confidentiality:

Licensee agrees to treat all proprietary information related to the Launch Hub AI and the AIVA Reseller Systems Products or Entrepreneur Hub, Inc. as strictly confidential. Both parties acknowledge that during the course of this Agreement, each may obtain confidential information regarding the other party's businessBoth parties agree to treat all such information and the terms of this Agreement as confidential and to take all reasonable precautions against disclosure of such information to unauthorized third parties during and after the term of this Agreement. Upon request by an owner, all documents relating to the confidential information will be returned to such owner.

Audit Rights:

Entrepreneur Hub, Inc. reserves the right to audit the Licensee's records related to the use and sale of Launch Hub AI and the AIVA Reseller Systems Products to ensure compliance with this Agreement.

Quality Control:

Licensee agrees to maintain high standards of quality in the use, sale, and distribution of Launch Hub AI and the AIVA Reseller Systems Products.

Relationship of Parties:

The Licensee agrees that they are functioning as an independent business or individual and nothing in this Agreement is intended to, or shall be construed to, create a legal partnership, agency, joint venture, employment or any other similar relationship between Entrepreneur Hub, Inc. LLC and the Licensee.

Neither party shall have authority to enter into agreements of any kind on behalf of the other party, and neither party shall be considered the agent, employee, or representative of the other.

Severability:

If any provision of this Agreement is found unenforceable, the remainder of the Agreement remains in full force.

Amendments/Modification of Terms:

Entrepreneur Hub, Inc. may amend this Agreement at its discretion and without notice. Licensee agrees to review and adhere to any changes.

It is the express responsibility of the Licensee to regularly review the terms of the license and to stay informed of any alterations or amendments. The Licensee acknowledges and agrees that their failure to review or be aware of such changes does not relieve them of their obligations under the updated license terms.

Licensee Responsibility:

Licensee acknowledges that it is their sole responsibility to understand all Launch Hub AI and the AIVA Reseller Systems Products, updates and uses and to represent it accurately in all marketing and promotional activities.

Community Obligations:

Licensee agrees to uphold and enforce community guidelines and terms and conditions set forth, including but not limited to, terms set forth in this agreement, by Entrepreneur Hub, Inc., in any communities or forums where Launch Hub AI and the AIVA Reseller Systems Products are being utilized or discussed.

Use in Coaching Programs or Membership Sites:

The licensee is not permitted to include the Launch Hub AI and the AIVA Reseller Systems Products as part of other coaching program or membership site offerings. Under no circumstances shall the licensee provide, offer, or transfer the resell rights of any Launch Hub AI and the AIVA Reseller Systems product to any membership subscribers, without the direct sale of Launch Hub AI and the AIVA Reseller Systems Products to that person, regardless of the amount spent on other programs or the level of membership tier. The product must be sold to clients or group members as a standalone product including the rights to resell.

Prohibition on Screen Recording:

The Licensee is expressly prohibited from recording, screen recording, capturing, or reproducing Launch Hub AI and the AIVA Reseller Systems Products in any manner for the purpose of sharing, distributing, or reselling. Any unauthorized screen recording or reproduction of the product is a violation of this agreement and may result in legal action and immediate termination of the Licensee's rights under this agreement.

GRANT OF LICENSE:

Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, transferable, revocable right to resell the Product in accordance with the terms of this Agreement.

PROHIBITED ACTIVITIES:

Users may not access or use our products or systems for any purpose other than that for which we make the systems available. The systems may not be used in connection with any commercial endeavors except those that are specifically pre-approved by us.

As a user of Launch Hub AI and the AIVA Reseller Systems products, you agree not to:

Change, modify, or alter the original name of any products provided by Entrepreneur Hub, Inc.

Retrieve data, product information or other unauthorized content to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from Entrepreneur Hub, Inc.

Defraud, or mislead Entrepreneur Hub, Inc. and other users, especially in any attempt to learn sensitive account information such as user passwords, potential leads, trade secrets, intellectual property of ours or any other Users, or any other business information.

Circumvent, disable, or otherwise interfere with any security-related features of any of our Products, including features that prevent, restrict, encourage or enable the use of copying of any Content or enforce limitations on the use of the Product and/or the Content contained therein

Disparage, tarnish, or otherwise harm, in the opinion of Entrepreneur Hub, Inc., Any of our Products or Systems.

Use any information obtained from our Products to harass, abuse, or harm another person. Make improper use of our support services or submit false reports of abuse or misconduct. Use our Products t in a manner inconsistent with any applicable laws or regulations. Engage in unauthorized framing of or linking to any of our Products Upload or transmit (or attempt to upload or transmit) viruses, Trojan horses, or other material, including party's uninterrupted use and enjoyment of the Product or modifies, impairs, disrupts, alters, or interferes with the use, features, function, operation, or maintenance of the Product.

Delete any proprietary rights or notices from any Content or Products. Attempt to impersonate another user or person or use the username of another User or Licensee of our products. Interfere with, disrupt, or create an undue burden on any of our products or Entrepreneur Hub, Inc. or the networks or services connected to our products, associates, other Users or our company. Harass, annoy, intimidate, or threaten any of Entrepreneur Hub, Inc. employees, affiliates, owners, executive staff, Resellers, Partners, Clients or agents engaged in providing any portion of the Products, Systems, Services, or Licensing to you, the Licensee. Attempt to bypass any measures of the Products designed to prevent or restrict access to the Products, or any portion of the Products. Use a buying agent or purchasing agent to make purchases of any of our products.

Ownership vs. License of Digital Product/Purchase of Digital Product:

Upon purchasing Launch Hub AI and the AIVA Reseller Systems Products, the purchaser ("Licensee") acquires a personal, non-exclusive, transferable, and revocable license to access, use, and resell the products for their own personal or business purposes. This license grants the Licensee the right to use and resell the product but does not transfer any intellectual property rights.

Intellectual Property Rights:

All intellectual property rights in Launch Hub AI and the AIVA Reseller Systems products remain the sole and exclusive property of Entrepreneur Hub, Inc. ("Licensor"). The purchase of the product does not convey to the Licensee any rights of ownership in or related to the products, or any intellectual property rights owned by the Licensor.

Continuous Resale Rights:

The Licensee is permitted to resell the Launch Hub AI and the AIVA Reseller Systems Products to a third party. Upon resale, the Licensee retains their original rights to the product and does not need to transfer their license to the third-party buyer. This means the Licensee can continue to resell the product to multiple parties while still retaining their rights to the product. Each third-party buyer will also acquire a personal, non-exclusive, transferable, and revocable license to access, use, and resell the products under the same terms.

Clarification on Ownership:

For the avoidance of doubt, purchasing Launch Hub AI and the AIVA Reseller Systems Products provides the Licensee with a licensed copy of the product. It does not grant any ownership rights to the intellectual property of the product or any other rights not explicitly mentioned in this agreement.

Prohibition of Selling Under a False Name:

a) The Participant expressly agrees not to sell, distribute, or promote any MRR Reseller products under any false, misleading, or unauthorized name, brand, or representation.b) The Participant acknowledges that MRR Systems is the exclusive intellectual property of Entrepreneur Hub, Inc. and any unauthorized use, including selling under a false name, constitutes a breach of this Agreement and an infringement of Entrepreneur Hub, Inc.’s intellectual property rights.c) Any unauthorized use of our products will result in immediate termination of the Participant's rights under the Original Agreement and may result in legal action for damages and injunctive relief.

MRR Systems User Responsibilities:

We are fully committed to providing valuable products and systems for your use in online business. While our offerings come with specific usage rights and benefits, it's crucial to be aware of your responsibilities as a user/reseller of our products.

Product Review and Verification:

Before using or reselling any digital product obtained from MRR Systems, it's your responsibility to thoroughly review and verify its content. Despite our commitment to provide high-quality and accurate information, it is your responsibility to exercise due diligence to ensure content accuracy, legality, and suitability for your specific purposes.

Adjustments and Customization:

We encourage users to make necessary adjustments and customizations to align products with their brand, message, or target audience. This includes proofreading, editing, tailoring content to match your style, and ensuring compliance with laws and regulations.

Legal and Ethical Compliance:

To ensure that products obtained from us are used and resold in a legal and ethical manner, it is your responsibility to understand and comply with all applicable laws, regulations, and industry standards, including copyright, trademark, and licensing considerations.

User Support and Assistance:

We provide user support for product-related questions, our assistance focuses on usage, customization, or technical issues. We do NOT offer legal, financial, or professional advice unrelated to our products.

Business Decisions and Outcomes:

Our products aim to provide valuable resources for your digital business, and individual results may vary. We don't guarantee specific business performance or income results from the use or resale of our products.

Restricted Sharing of Links:

a) The Participant agrees not to share any private or restricted links, including but not limited to the registration links, free lead magnets, sales pages or any other program sign-up links, with anyone, without the express written permission of Entrepreneur Hub, Inc.. b) Unauthorized sharing of such links is a breach of this Agreement.c) In the event of unauthorized sharing, Entrepreneur Hub, Inc. reserves the right to pursue the Participant for damages and any other remedies available under the law. By accessing and using our products, you acknowledge and accept these user responsibilities. Exercising diligence and responsibility when using our products contributes to your success as a user/reseller.

AIVA Reseller Income Disclaimer

Integrity and transparency are core fundamental principles at AIVA Reseller Systems. Our commitment is to offer valuable digital products, systems and resources to help you scale business. It is crucial to clarify that no assurances or guarantees of specific income or success are tied to the use or resale of our products. Each user has unique goals, skills, and circumstances and individual results can vary significantly. While some may achieve substantial success, others may face challenges or attain more modest results. Your outcomes are shaped by your efforts, strategies, and the ever-changing market conditions. Several factors influence the outcomes you experience when using or reselling our products, including:

Entrepreneur Hub, Inc. holds no liability for any claims, damages, losses, or legal disputes arising from the use, resale, or distribution of our Products by you or your customers. Entrepreneur Hub, Inc. shall not be held liable for any damages arising from the use or inability to use these products whatsoever. This includes but is not limited to direct, indirect, incidental, punitive or consequential damages that arise from the use, sale, marketing, promotion or distribution of any of our products. Including any loss of profits, revenues, data, use, goodwill, or other intangible losses resulting from various factors, including unauthorized access, errors in content, interruption of transmission, or third-party interference. These limitations apply regardless of the legal theory or basis of the claim.

Indemnification:

User agrees to unconditionally and irrevocably hold Entrepreneur Hub, Inc. and any other resellers, affiliates, team members or other associated parties harmless from any causes of injury, illness, misunderstanding, damages, losses, costs, or expense incurred as a result of purchasing or reselling any of our products, as well as any third party claims of any kind (including attorneys fees, insurance fees) arising from his/her actions as a direct or indirect result of participation in programs/services provided.

This also includes but is not limited to (a) (any breach or non-fulfillment of any representation, warranty, or covenant contained in this agreement, or any other agreement contemplated hereby, by the Licensee and any use or misuse of Launch Hub AI and the AIVA Reseller Systems Products or Products owned by Entrepreneur Hub, Inc., by the Licensee or any third party gaining access to the product through the Licensee; or (c) any infringement of intellectual property rights arising from the Licensee's unauthorized use or modification of the product.

User understands and agrees that this agreement extends to and includes all damages, injuries, and claims unanticipated or not known to exist and to all damages, injuries, or claims which may develop in the future, and hereby expressly waive and relinquishes all rights under any law or statute to the contrary.

Non-Disparagement:

The Participant agrees not to make any negative or disparaging statements about Entrepreneur Hub, Inc. or any of its programs or products, including but not limited to, MASS AI, MRR Systems or its community, both during and after the termination of this Agreement.

Data Protection and Privacy:

The Participant agrees to comply with all applicable data protection laws and regulations. Any personal data collected will be handled in accordance with Entrepreneur Hub, Inc.’s privacy policy.

Termination:

This Agreement shall commence on the Effective Date of Purchase and shall continue in full force until terminated as provided herein. This Agreement will continue indefinitely unless terminated earlier in accordance with its terms. Entrepreneur Hub, Inc. reserves the right to evoke the Participant's right to use or resell the products if the Participant fails to fulfill their responsibilities or acts detrimentally to Entrepreneur Hub, Inc..

Either party may terminate this Agreement at any time, with or without cause, by providing the other party a written notice of termination. Upon termination of this Agreement for any reason, all rights granted to the Licensee under this Agreement, including the right to resell Launch Hub AI and the AIVA Reseller Systems Products, shall immediately cease, and the Licensee shall immediately cease all use, promotion, and sales of the Product.

The Licensee shall also, within 10 days of the termination date, destroy or return to the Licensor any confidential information or materials provided by the Licensor under this Agreement. Termination of this Agreement shall not affect any rights or obligations that: (a) are meant to survive termination (including but not limited to indemnification and limitations of liability); and/or (b) have accrued prior to such termination.

GOVERNING LAW:

This agreement shall be governed by and construed in accordance with the laws of the seller's local jurisdiction without giving effect to any choice or conflict of law provision or rule, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.

Revocation of License:

Entrepreneur Hub, Inc. ("Licensor") reserves the right to revoke the license granted to the Licensee under this Agreement at any time, for any reason, including but not limited to breaches of this Agreement, misuse of any Products or Systems, or actions that harm the reputation or business interests of the Licensor.

Upon revocation of the license, the Licensee shall immediately cease all use, promotion, and sales of the Product and shall, within 10 days of the revocation date, destroy or return to the Licensor any confidential information or materials provided by the Licensor under this Agreement.

Updates to Terms and Conditions:

Entrepreneur Hub, Inc. ("Licensor") reserves the right to update, modify, or replace any part of these Terms and Conditions at its discretion and without notice. It is the Licensee's responsibility to check periodically for changes. The continued use of, sale of, or access to our Products, Systems or Services following any modifications or changes to these Terms and Conditions constitutes acceptance of those changes.

Third-Party Protection:

The Licensee acknowledges and agrees that Entrepreneur Hub, Inc.'s licensors and service providers are third-party beneficiaries of this Agreement, with the right to enforce the obligations set forth herein with respect to the respective technology and services of such licensors and service providers.

Both parties acknowledge that during the course of this Agreement, each may obtain confidential information regarding the other party's business. Both parties agree to treat all such information and the terms of this Agreement as confidential and to take all reasonable precautions against disclosure of such information to unauthorized third parties during and after the term of this Agreement. Upon request by an owner, all documents relating to the confidential information will be returned to such owner.

Dispute Resolution:

Any disputes arising out of or related to this Agreement shall first be attempted to be resolved through amicable negotiations. If the parties cannot resolve the dispute, they agree to submit the dispute to binding arbitration in the seller's jurisdiction, in accordance with the rules of the American Arbitration Association.

Representations and Warranties:

Both parties represent and warrant that they have the full authority to enter into this Agreement and to perform their obligations hereunder; that their execution and performance of this Agreement will not result in a breach of any other agreement to which they are bound; and that they will comply with all applicable laws, rules, and regulations in their performance of this Agreement.

Compliance with Laws:

The Licensee shall comply with all applicable laws, regulations, and ordinances in connection with its activities pursuant to this Agreement.

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, which consent shall not be unreasonably withheld.

Force Majeure:

Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, war, strikes, labor disputes, embargoes, government orders, or any other force majeure event.

ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES:

Visiting websites, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications from us, and you agree that all agreements, notices, disclosures, and other electronic communications we provide to you, via email and online, satisfy any legal requirement that such communication be in writing.

YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, PURCHASES, ORDERS, AND OTHER RECORDS, AND TO THE ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED ONLINE.

You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

CORRECTIONS:

There may be information inside of our products and systems that contains typographical errors, inaccuracies, or omissions that may relate to Launch Hub AI and the AIVA Reseller Systems Products, promotions, offers, product descriptions, pricing, and availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information on the website or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).

DISCLAIMER:

AIVA Reseller Systems Products are provided "as is" and "as available" for use, without any representation, warranties, or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, durability, title, and non-infringement merchantable quality, or fitness for a particular purpose.

MODIFICATIONS AND INTERRUPTIONS:

We reserve the right to change, modify, or remove the contents of our products at any time or for any reason at our sole discretion without notice. Such changes may include, but are not limited to:

Content Updates:

Periodic updates to the content to reflect new information, improvements or corrections.

Feature Changes: Addition of, modification of, or removal of certain features or functionalities of our products.

Platform Support:

Changes to the supported platforms or devices for which the product is available. This may include discontinuation of support for older versions of any products.

Download Limitations:

Adjustments to the number of times a product can be downloaded, or the duration for which a download link remains active if and when applicable.

Access Restrictions:

Temporary or permanent restrictions on access to certain parts of our products due to maintenance, security, or any other reasons.

Beta Access

Any products listed as Beta may contain the occasional delay in release of content or materials. It is understood participation in any Beta release is at a reduced price and it is assumed there may be delays in release of any trainings and software updates as related to the full scope of the Beta project.

Pricing Adjustments:

Changes to the pricing of the product, including promotional discounts or price increases. Format Changes: Alterations to the format or file type of the downloadable content, which may require users to obtain new software or hardware for compatibility reasons.

We also reserve the right to modify or discontinue all or part of the product without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the product.

California residents are granted specific rights regarding access to personal information. Under California Civil Code Section 1798.83, AKA the "Shine The Light'' law. Our failure to exercise or enforce any right or provision of these Terms and Conditions shall not operate as a waiver of such right or provision. These Terms and Conditions operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time.

We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms and Conditions is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and Conditions and does not affect the validity and enforceability of any remaining provisions.

There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms and Conditions or use of any of our products. You agree that these Terms and Conditions will not be construed against us by virtue of having drafted them.

You hereby waive any and all defenses you may have based on the electronic form of these Terms and Conditions and the lack of signing by the parties hereto to execute these Terms and Conditions.

Purpose of the Agreement: This Agreement outlines the terms and conditions under which the Participant may use our products to promote and resell them.

Responsibilities of the Participant:

a) The Participant agrees to actively participate in the MRR Systems community, answer questions, and assist their customers.b) The Participant acknowledges that they are solely responsible for the satisfaction of their customers and for any damages caused by their actions.c) The Participant agrees to uphold the values, guidelines, and standards set by MRR Systems when interacting with potential and existing community members.

No Affiliation:

a) The Participant understands and agrees that thor own personal links for sharing MRR Systems products are not affiliate links.b) By using the reseller links created, Entrepreneur Hub, Inc. does not endorse, support, or become affiliated with the Participant's business or methods of marketing.c) The Participant agrees not to represent themselves as an affiliate or partner of Entrepreneur Hub, Inc.

Damages:

In the event of a breach of this Amendment, Entrepreneur Hub, Inc. reserves the right to pursue the Participant for damages, including but not limited to lost profits, damage to reputation, and any other consequential damages resulting from the unauthorized use of our products.

Entire Agreement:

This agreement supersedes any and all prior or contemporaneous agreements or understandings, both written and verbal. By purchasing, using or reselling our products, you agree to be bound by the terms and conditions set forth in this agreement. If you do not agree to these terms and conditions, do not purchase or use our products.
